Agreement to Terms

By accessing and using DataAgents ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Description of Service

DataAgents is a cloud-based data engineering platform that provides tools for data integration, transformation, and analytics. The Service includes web-based applications, APIs, and related services powered by AI agents.

User Accounts

To use the Service, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized use

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or harmful content
• Attempt to gain unauthorized access to the Service
• Interfere with the proper functioning of the Service
• Use the Service for any illegal or unauthorized purpose
• Process highly sensitive personal data (e.g., biometric, medical) without proper safeguards
• Attempt to reverse engineer or scrape the platform
• Violate tenant isolation by attempting to access another tenant's data

Data and Privacy

You retain ownership of your data. We will not access, use, or disclose your data except as necessary to provide the Service or as required by law. Our collection and use of information is governed by our Privacy Policy.

Payment Terms

If you purchase a paid subscription:

• Fees are billed in advance on a recurring basis
• All fees are non-refundable except as required by law
• We may change our pricing with 30 days' notice
• You are responsible for all applicable taxes
• Annual contracts are binding and non-refundable unless otherwise agreed in writing

Intellectual Property

• You retain ownership of your original datasets and uploaded content
• We retain ownership of all platform code, ML models, and system-generated content
• You may use generated code or queries for internal business purposes
• The Service and its original content, features, and functionality are protected by international copyright, trademark, and other intellectual property laws

Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or modifications that temporarily affect the Service. You accept that occasional downtime may occur.

Limitation of Liability

To the maximum extent permitted by law, DataAgents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or relating to your use of the Service. Our total liability is limited to the amount you paid in the last 12 months.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. We may also terminate if:

• Your payment fails and remains unpaid beyond 30 days
• You request deletion of your tenant

Governing Law

These Terms shall be governed by and construed in accordance with the laws of France. Any disputes will be handled in the competent courts of Paris, unless otherwise agreed.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date.
